1. Service Description

PriceScope (“the Service”, “we”, “us”, “our”) is a competitive intelligence platform that provides automated product data reports compiled from publicly available information published on third-party garden centre websites. Reports are delivered as Excel files via a secure download link following a one-time payment. The Service operates as a data aggregation and formatting tool, collecting only information that is freely and publicly accessible to any internet user via a standard web browser.

2. Legal Basis for Data Collection

All data included in our reports is sourced exclusively from publicly accessible web pages that are available to any member of the public without authentication, login credentials, or circumvention of any technical barriers. We do not access password-protected areas, private APIs, authenticated sessions, or any non-public information.

Our data collection practices are consistent with established legal principles regarding publicly available information, including the principle affirmed in hiQ Labs, Inc. v. LinkedIn Corp.(9th Cir. 2022), in which the United States Court of Appeals for the Ninth Circuit held that the automated collection of publicly accessible data does not constitute a violation of the Computer Fraud and Abuse Act (CFAA). While this ruling pertains to US law, the underlying principle — that publicly displayed information carries no reasonable expectation of exclusivity — is consistent with broader international legal frameworks.

In the United Kingdom, our activities are conducted in accordance with applicable law, including but not limited to the Computer Misuse Act 1990 (which prohibits unauthorised access to computer systems — our collection is limited to publicly published content that requires no authorisation to access) and the UK GDPR / Data Protection Act 2018 (product pricing data does not constitute personal data within the meaning of these statutes).

3. Nature of Data Collected

The data we collect and compile consists solely of commercial product information that businesses have voluntarily published on their public-facing websites for the express purpose of attracting customers. This includes:

  • Product names and descriptions
  • Published retail prices
  • Brand and manufacturer information
  • Product categories and classifications
  • SKU or product reference numbers
  • Publicly displayed stock availability indicators

This information is factual, non-copyrightable commercial data (prices, product names, and stock statuses are facts, not creative works) and is already visible to every visitor of the source website. We do not collect, process, or store any personal data from third-party websites.

4. Disclaimer of Warranties

The Service and all reports are provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness, reliability, or non-infringement.

Without limiting the foregoing, we expressly do not warrant that:

  • The data in any report is accurate, complete, current, or error-free
  • Product prices, stock levels, or other data points reflect real-time information at the moment you view the report
  • All products listed on a competitor's website will be captured in the report
  • The data will be suitable for any particular business decision or purpose
  • The Service will be available without interruption or free from technical errors
  • Third-party websites will not change their structure, content, or availability between collection and your use of the report

You acknowledge that you have tested or reviewed sample outputs of the Service and rely solely on your own judgement in utilising it. Any reliance on report data for business, pricing, purchasing, or strategic decisions is entirely at your own risk.

5. Limitation of Liability

To the maximum extent permitted by applicable law, PriceScope and its operators, affiliates, directors, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, anticipated savings, or any other intangible losses, arising out of or in connection with:

  • Your use of, or inability to use, the Service or any report
  • Any business, pricing, commercial, or strategic decisions made on the basis of report data
  • Inaccuracies, omissions, or errors in any report data
  • Any third-party claims arising from your use of the data
  • Unauthorised access to or alteration of your data or transmissions
  • Any other matter relating to the Service

regardless of the theory of liability (whether in contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

Our total aggregate liability for any and all claims arising from or relating to the Service shall not exceed the total amount you have paid to PriceScope for the specific report giving rise to the claim in the twelve (12) months preceding the claim.

6. Indemnification

You agree to indemnify, defend, and hold harmless PriceScope, its operators, parent companies, subsidiaries, affiliates, partners, officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, and suppliers from and against any and all claims, liabilities, damages, judgements, awards, losses, costs, expenses, and fees (including reasonable legal fees and costs of litigation) arising out of or relating to:

  • Your use of the Service or any report provided by the Service
  • Any business, pricing, commercial, or strategic decisions you make based on report data
  • Your breach of these Terms of Service
  • Your violation of any applicable law, regulation, or the rights of any third party
  • Any third-party claims arising from your use, redistribution, or publication of report data
  • Any disputes between you and any third party relating to the data contained in reports

7. Acceptable Use

Reports are licensed for your internal business use only. You may not, without our prior written consent:

  • Resell, redistribute, sublicense, or publicly publish report data in whole or in part
  • Use report data to construct a competing service or product
  • Use the Service to engage in any activity that is unlawful in your jurisdiction
  • Misrepresent the source, origin, or nature of the data
  • Use the data for purposes that infringe the rights of any third party

You are solely responsible for ensuring that your use of report data complies with all applicable laws, regulations, and industry codes of practice in your jurisdiction. Our full Acceptable Use Policy is incorporated into these Terms by reference.

8. Payment & Refunds

All payments are processed securely via Stripe. Prices are displayed inclusive of VAT where applicable. Due to the automated nature of report generation and delivery, refunds are considered on a case-by-case basis at our sole discretion. If a report is materially incomplete or fails to deliver, contact us and we will issue a full refund or re-run the report at no additional charge.

9. Your Data & Privacy

We collect your email address solely for the purpose of delivering your purchased report and any necessary transactional communications. We do not sell, share, rent, or use your personal data for marketing purposes. Payment data is handled entirely by Stripe in accordance with PCI DSS standards and is never stored on our servers.

10. Intellectual Property

The data contained in reports originates from third-party websites. Product prices, names, and stock availability are factual information and are not subject to copyright protection. PriceScope claims no ownership over product data sourced from third-party websites.

The Service itself — including its software, design, branding, and compilation methodology — is the intellectual property of PriceScope and is protected by applicable intellectual property laws. You may not copy, reverse-engineer, or create derivative works of the Service.

If you believe that any content accessible through the Service infringes your intellectual property rights, please contact us with a detailed description of the alleged infringement. We will investigate all good-faith claims and take appropriate action where warranted.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles. Any disputes arising out of or in connection with these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent.

13. Entire Agreement

These Terms, together with our Privacy Policy, Acceptable Use Policy, and Cookie Policy, constitute the entire agreement between you and PriceScope regarding your use of the Service, superseding any prior agreements or understandings.

14. Changes to Terms

We reserve the right to update these Terms at any time. Material changes will be reflected by updating the “Last updated” date at the top of this page. Continued use of the Service after changes constitutes your acceptance of the revised Terms. It is your responsibility to review these Terms periodically.
